For every No vote and every non-vote, they would need 3 Yes votes. If a SH did not vote, they are counted as voting No by default.
Which brings motivation into play. At such a low offer price, some SHs might not even participate in the vote. They might have very small holdings, don't need the liquidity, or the offer being so small it didn't even make enough news to register on their radar.
