Allied Farmers Limited Annual Meeting Results
The results of voting at the Annual Meeting of Allied Farmers Limited held
today, 24 November 2015.
Resolution 1: Re-election of Andrew McDouall:
Resolution passed.
The Board has determined that Andrew McDouall is an Independent Director.
Resolution 2: Election of Mark Benseman:
Resolution passed.
The Board has determined that Mark Benseman is not an Independent Director.
Resolution 3: Authorisation of Auditor's Remuneration:
Resolution passed
Resolution 4: Remuneration of Directors by way of issue of Equity Securities:
Resolution passed
Resolution 5: Purchase of Shares in NZ Farmers Livestock in Consideration for
issue of Allied Farmers Limited Shares:
Resolution passed.
The passing of Resolution 5 satisfies the shareholder approval condition in
the Share Sale Agreement announced to the market on 3 November 2015. The
Share Sale Agreement is an agreement between Allied Farmers Limited's wholly
owned subsidiary, Allied Farmers Rural Limited, and Stockmans Holdings
Limited, to purchase 950 shares in NZ Farmers Livestock Limited (NZFL) for a
purchase price of $1 million.
Accordingly, settlement of the share sale is expected to occur on 4 December
2015.
