Annual General Meeting held on
Wednesday 26 February 2014
The Bankers Investment Trust PLC announces that at the Annual General Meeting
held earlier today all resolutions proposed were duly passed, four of which
were special resolutions, including resolutions: to adopt new articles of
association; that a general meeting may be called on not fewer than 14 clear
days' notice; and that the Company be generally authorised to make market
purchases of its own ordinary shares up to a maximum of 14.99% (equivalent to
16,804,815 ordinary shares as at today's date) at the maximum price per share
(exclusive of expenses) not exceeding the higher of 105% of the average
middle market quotations for the five business days preceding the date of
purchase; and the higher of the last independent bid and the highest current
independent bid on the London Stock Exchange. Shares repurchased will either
be held in treasury or cancelled.
As previously announced, the Company also confirms the appointment of Mr
David Wild to the Board today.
