On May 20, 2013 Diligent advised the market that the 2013 AGM would be
rescheduled due to a review by the U.S. Securities and Exchange Commission
(the "SEC").
Diligent can now confirm that the 2013 Annual Meeting will be held at The
Pullman Hotel, Corner of Princes and Waterloo Quadrant, Auckland, New Zealand
at 11:00am on Tuesday June 25 (New Zealand time).

Proxy Card.
