Change to date of Annual Meeting
On May 9, 2013 Diligent filed its preliminary proxy statement with the U.S.
Securities and Exchange Commission (the "SEC") in connection with its 2013
Annual Meeting of Shareholders scheduled for 4 June 2013, New Zealand local
time (the "2013 AGM"). The Securities Exchange Act of 1934 ("Exchange Act")
requires the Company to submit proxy statements for non-routine matters to
the SEC at least 10 calendar days prior to the date definitive copies of such
material are first sent or given to security holders. The SEC's Staff
routinely reviews the disclosure documents filed by companies and has elected
to review the preliminary proxy statement and other filings of Diligent.
In order to accommodate the SEC review process and any necessary amendments
to Diligent's annual meeting materials, Diligent plans to reschedule the date
of the 2013 AGM. At this stage the expectation is that the 2013 AGM will take
place in late June. A further announcement detailing the time, date and
location for this meeting will be made once the timing is finalized.
