MEETING: DIL: Notice of Meeting

Dear Fellow Shareholder;

I take pleasure in inviting you to attend Diligent Board Member Services,
Inc.'s Annual Meeting of Shareholders to be held on April 28th, 2015 at 11:00
am (New Zealand Time) at the Pullman Hotel, Corner of Princes and Waterloo
Quadrant, Auckland, New Zealand. This year, Diligent will use the ''notice
and access'' method of providing proxy materials to you via the Internet. On
or about March 19, 2015, you will receive a Notice of Internet Availability
of Proxy Materials (the ''Notice''), which includes instructions regarding
voting your shares and requesting a printed copy of our proxy materials.
