2015 ANNUAL MEETING RESULTS

The following resolutions were put to shareholders of EROAD Limited (ERD) at
its Annual Meeting held on Thursday 6 August 2015:

1. That Tony Gibson, who retires by rotation, and being eligible, is
re-elected as a director of EROAD.
2. That Michael Bushby, who retires by rotation, and being eligible, is
re-elected as a director of EROAD.
3. That the Directors be authorised to fix the fees and expenses of KPMG as
the auditor of EROAD.

All of the above resolutions were passed on a show of hands.
