RESULTS OF SHAREHOLDER VOTING AT FONTERRA ANNUAL MEETING

Fonterra shareholders have voted to pass seven of the eleven resolutions at
this year's Annual Meeting.

Resolutions eight, nine, ten and eleven, which were special resolutions put
forward by Fonterra shareholders, were not passed. The Board and
Shareholders' Council had earlier recommended that shareholders vote against
these resolutions.

The results of the resolutions are:

Resolution 1: Approval of remuneration of Directors 85.32%
Resolution 2: Approval of remuneration of Shareholders' Council 83.36%
Resolution 3: Approval of remuneration of members of Directors' Remuneration
Committee 85.91%
Resolution 4: Appointment of PricewaterhouseCoopers as auditor and
authorisation of the Directors to fix the auditor's remuneration 93.90%
Resolution 5: Ratification of appointment of Mr Clinton Dines 90.65%
Resolution 6: Approval of Shareholders' Council programme and budget 82.92%
Resolution 7: Approval of amendments to the Co-operative Principles  87.97%
Resolution 8: Mr Beach's First Proposal 7.06%
Resolution 9: Mr Beach's Second Proposal  13.37%
Resolution 10: Mr Croucher's Proposal 15.84%
Resolution 11: Mr Armer and Mr Gent's Proposal 53.80%
