Michael Hill International Annual Meeting 4 December 2015
   Results of resolutions at Annual Meeting

 All resolutions proposed at the Annual Meeting held in Auckland on Friday 4
December  2015 were passed by a poll vote. Details of the resolutions were as
follows:
1. Re-election of  Ann Christine Lady Hill as a Director.
     Votes for:     267,138,149
     Votes Against:    84,647

2. The Directors to be authorised to fix the remuneration of the auditors for
the ensuing year.
    Votes for: 267,122,509
    Votes against: 88,287

3. That approval is given for amendments to the Company's constitution, in
the form and manner described in the Explanatory Notes to the Notice of
Annual Meeting dated 18 November 2015.

   Votes for :      267,050,996
   Votes against : 111,800
