Results of Resolutions at Annual Shareholders' Meeting and Director
Independence

Restaurant Brands New Zealand Limited is pleased to advise that the following
resolutions were passed at its Annual Shareholders' Meeting held today,
Thursday 2 July 2015:

Resolution 1 - That Mr Ted van Arkel be re-elected as a Director
Passed on a show of hands.

Proxy voting in respect of the resolution was:

Resolution 2 - That the Board of Directors be authorised to fix the auditor's
