AGM Resolutions and Independent Director Confirmation

The annual meeting of shareholders of Ryman Healthcare Limited was held on 30
July 2014.

All four resolutions proposed in the Notice of Meeting were considered and
passed at the meeting.

In accordance with Listing Rule 3.3.1A, the Board of Directors have
determined that the Independent Directors of the Company are Dr David Kerr,
Jo Appleyard, Warren Bell, Andrew Clements and George Savvides.
