AGM Resolutions and Independent Director Confirmation

The annual meeting of shareholders of Ryman Healthcare Limited was held on 29
July 2015.

All resolutions proposed in the Notice of Meeting were considered and passed
at the meeting.

In accordance with Listing Rule 3.3.1C, the Board of Directors have
determined that the Independent Directors of the Company are Dr David Kerr,
Jo Appleyard, Warren Bell, Claire Higgins, Doug McKay and George Savvides.
