NOTIFICATION OF CLOSING DATE FOR DIRECTOR NOMINATIONS

3 June 2014

Xero Limited's Annual Meeting of Shareholders will be held on Wednesday, 23
July 2014 at 4pm (NZ time) at Shed 6, Queens Wharf, Jervois Quay, Wellington,
New Zealand.

For the purposes of NZX Listing Rule 3.3.5, and ASX Listing Rules 3.13.1 and
14.3, Xero Limited advises that the closing date for director nominations is
17 June 2014, and that all nominations must be received by Xero Limited
before or on that date (NZ time).
