NOTIFICATION OF CLOSING DATE FOR DIRECTOR NOMINATIONS

For the purposes of NZX Listing Rule 3.3.5, and ASX Listing Rules 3.13.1 and
14.3, Xero Limited advises that:

o Xero Limited's Annual Meeting of Shareholders will be held on Wednesday, 22
July 2015 at 4pm (NZ time) at Visa Platinum Gallery, Te Papa, 55 Cable
Street, Wellington, New Zealand.

o The closing date for director nominations is Friday, 12 June 2015; all
nominations must be received by Xero Limited before 5pm on that date (NZ
