Memorandum

Subject: Pyne Gould Corporation Limited ("PGC") - Late Annual Report

Message:

NZX Regulation ("NZXR") advises that Pyne Gould Corporation Limited ("PGC")
has not issued to NZX its Annual Report for the period ending 30 June 2015
which, under NZX Main Board Listing Rule 10.4.1 was due to be announced to
NZX on or before 30 September 2015.

Pursuant to Footnote 2 of NZX Main Board Listing Rule 5.4.3, if an Issuer has
not issued its Annual Report within 5 business days of the due date, trading
of that Issuer's securities will be suspended until the Issuer has issued its
Annual Report.

Accordingly, if PGC does not provide its Annual Report by market close on 7
October 2015, NZXR gives notice that trading in the above named securities
will be suspended, effective from market open on 8 October 2015.
