2005 was nearly 20 years ago so even if the company hadn't had any growth in that time just the future value of money would suggest it's worth at least $200M.
you won't know for sure until you get a set of recent financials which we will receive soon I'd imagine.
based on the few mergers and acquisitions I've seen (through investing in stocks), if management as well as the board are advising to vote in favour it is probably a good deal for shareholders. The management own a lot of the stock too so would be unlikely to stitch themselves up with a bad deal. Some other deals in other stocks I've seen have had the board question the value to shareholders .
we will see in time but so far I'm not worried
