Update on the acquisition of Mega Limited
As previously announced, TRS Investments Limited ("TRS") has entered into a
conditional agreement with the stakeholders of Mega Limited ("Mega") to
acquire 100% of the shares on issue in Mega (Transaction).
As previously advised to the market the documentation required to be prepared
and circulated to TRS shareholders in respect of the Transaction - namely the
Notice of Special Meeting of TRS Shareholders, the Profile, and the
Independent Advisor's Report - has been submitted to the respective
regulators for their review. Both TRS and Mega are pleased with the progress
that is being made with the regulatory review process.
The Transaction is conditional upon TRS obtaining shareholder approval to the
Transaction and to the arrangements collateral to the Transaction
("Condition").
TRS and the stakeholders in Mega have today resolved to further extend the
date for the satisfaction of the Condition to 30 January 2015 in order to
provide sufficient time for the Transaction documentation to be finalised in
conjunction with the regulators, and then ultimately circulated to TRS
shareholders.
