an asx listed entity can only issue 20 % of its stick without sh approval. If wcn has only 2 billion already on issue thats a lot they can use but its definetly insufficient to get through another 3 yrs. Director renumeration, similarily needs sh approval. i.e. mike and todd only have so much rope to play without shareholders onboard.
