    They can still use the credits.

    There is no JV. MIN will purchase all of the shares in Atlas but will pay for them in MIN shares.

    Atlas will continue to exist as a wholly owned subsidiary of MIN, and MIN will just channel their earnings through Atlas to utilise its tax credits.
