    I just read section 652(C) of the corporations act. IMHO one reason the board changed their minds was making the offer unconditional. This allowed the bod to convert their large number of options without providing an escape clause from the offer. Worth several million dollars to the bod. Not that it would have affected their judgement in the matter.
