Just because MIN voted to appoint a director it does not mean they have a conflict of interest in everything, or even anything, to do with the JV or MIN related issues.
The Director is a director of NWE, not MIN.
If the Director works for MIN, is on their BOD etc then, yes, there may be a conflict of interest sometimes.
Otherwise, if the Director is not related to MIN, even though MIN has voted for him there is no conflict.
