(b) a ML is one thing, but meeting the required conditions for a ML is another matter
... and they are not met.
(c) non-performance: missed deadlines
(d) overpaid under- delivering CEO.

2. "This is a mature company, commencing to mine!"
(a) this is plainly not a mature company - you are deluding yourself.
(b) it might be "commencing" but where is the evidence that it has
actually commenced? Please supply pictures of on-site mining
equipment with EXIF's and GPS coords.
