Definitely voting against. This is simply a bad, bad deal at Proposal A cash only. And if we want to be part of the business moving forward Proposal B, then we get an even worse cash deal, and our ability to transfer holdings to the private company is throttled/limited. Minority shareholders being treated like a 3rd wheel. BGH valued the business at $3.90 right before COVID. And then countered at $4.00 by Private Equity Partners in January. These operators wouldn't have made offers if there wasn't a great deal to get out of it at those numbers. Nothing indicates this business will not fully recover - and even flourish once restrictions are lifted. B.A.D bad.
