To assist the Company to re-comply with Chapters 1 and 2 of the Listing Rules
and to support the proposed exploration programs following completion of
the Proposed Acquisitions, the Company plans, subject to the approval of the
Company’s shareholders (Shareholders), to conduct a public offer under a full
form prospectus to raise a minimum of $3 million (before costs) and up to a
maximum of $4.5 million (before costs) through an offer of a minimum of
150,000,000 Shares (Minimum Subscription) and a maximum of 225,000,000
Shares (Maximum Subscription) at an issue price of $0.02 per Share (on a
post-consolidation basis)
