All this valuation and calculating got me looking at this from another perspective.
AI valuation during DD arrived at $12m.
Star Bright purchase 60% for $7.2m
The agreement stipulates the $7.2m goes back into the new entity to progress development.
Star Bright contribute $10.8m (60%) along with the $7.2m (40%) = $18m.
Pure speculation on my part on how the deal could have been structured, but no doubt they will do it in the most tax effective way.
