OCP loans money. In return, OCP gets interest, and some shares.
St George disappears at the same time. Not coincidentally, MPR books a "benefit" equal to the difference between what it borrowed from OCP, and what it had owed St George. Plainly St George has taken a haircut equal to the "benefit" booked.
If it's that hard to understand, people, maybe you shouldn't be investing your own money.
