It is a binding MOU. Companies do that when exact terms of agreement hasn't yet been finalised like launch dates, profit sharing etc. Basically when they finalise those stuff it converts into a heads of agreement. Unlike non binding MOUs (which is what you are referring to), this one will actually eventuate into a contract within 90 days.
