    Reasons:
    (1) Upside risk of litigation
    (2) Market is at the bottom for tech
    (3) Investments (HC3, AI) are at beginning of pay-off period
    (4) Personally want to hold Australian tech in portfolio with this risk profile
    (5) This is an obvious low-ball offer
