'NetComm retracts Proxy Advisor Announcement
6 June 2019 (Sydney):
NetComm Wireless Limited (ASX:NTC) (NetComm) refers to its announcement dated 29 May 2019 titled “Proxy Advisers recommend Scheme of Arrangement” (29 May Announcement), in which it announced that CGI Glass Lewis and Institutional Shareholder Services Inc (Proxy Advisors) had made certain recommendations in relation to voting on the proposed scheme of arrangement with Casa Systems Inc. (Scheme).
It has subsequently been pointed out to NetComm that releasing the recommendations of the Proxy Advisers without providing the underlying rationale may be misleading.
For these reasons, NetComm retracts the 29 May Announcement and advises shareholders that no reliance should be placed on the 29 May Announcement. NetComm cautions investors from using the 29 May Announcement as a basis for their decision to vote in favour or against the Scheme.'

It would be advisable to delay the meeting for several weeks and fully advise shareholders as to the actual detailed advice received from the proxy advisors.

In the interest of Shareholder/Company information transparency I would move that shareholders insist on a delay of at least one month to get a full briefing as to why NTC management are recommending the
sale of the Company.
