This IMO will be an acquisition of a similar ICT company in the Eastern States and therefore is not a material change of business (which would otherwise require shareholder approval)
One other shareholder approval necessary would be if they raise more than 15% of market cap to fund the acquisition. This is highly probable but I seriously doubt it will be blocked, especially given how much of the company is owned by directors and how 'value accretive' such a transaction would likely be.

I agree with bcsiles, most likely a mix of stock and cash
