Nevertheless, why would Mackenzie drop out as MD after maintaining such a massive position in the company unless he might want to use his voting power on the 20% plus he owns??? Could it be his holdings stood to cause a conflict of interest on previous deals, hence why he is moving out of official capacity?

Surely if he had wanted out, he would have convinced the board and shareholders before Christmas to accept a deal at around $1 and made double the money (about $25 mil extra to his holdings), not close the deal and walk and see his shares lose over $30 mil in value...

SP is even more cheap, based on one off fees and circumstances, not the business fundamentals.
