If they decide to do a scheme of arrangement, they won't buy your shares. They will get independent experts to value the deal and advise if it is a good deal or not for the assets to be put into JMS in return form JMS issuing shares. Say you owned 10% of a $600 company, they put assets worth $600 in and then they get 50% of a 1200 company and you get 5% of a 600 company. Should be neutral to you or beneficial.
