Point 1. Yes that's how I read it. This is fine by me. I would have expected that to be the case , that's how you get the best people.
Point 2. The clause may have been there before , but they have never issued 25% in new equity before. My guess is that a big player wants in and that's the best way to do it.
The interesting thing is that to be eligible to do it , one of the clauses in the rules say the market cap needs to be under $300 million , which when they drafted these papers it looks like the SP was $2.73. But it isn't now... We are over that threshold. Not sure what's going to happen there...
