i encourage everyone to think carefully about voting on resolution 1 and 3.
i am voting against resolution 1: shareholders should send a message to management about the failures of the past year.
- failure to obtain offtakes for KMP, leading to indefinite extension of the phase 2 ramp up to 5200tpa and overspend on feedstock
- failure to close KCF financing/offtake package for Dubbo, resulting in an amendment to the terms of the agreement. KCF have not demonstrated any ability to secure a strategic investment for Dubbo as outlined in the original framework agreement. we also have no idea how they are going with setting up their Magnet Co to offtake from KMP.
- lack of transparency about the circumstances for the change from DW to Rowena and why they decided to vest 1 million in performance options to DW when he left
- slow movement on the EPCD notice to proceed and the slow response to the mod-1 submissions, resulting in EPCD now expected in early 2024 and possibility of incurring cost increase on the EPCD contract
- complete failure to defend the share price from short selling due to lack of progress in achieving project milestones. no insider buying of asm shares while at all time lows.
i'm also voting against resolution 3:
- gavin smith does not appear to have critical minerals/mining/mineral development experience or connections that would increase the ability of ASM to get offtakes/development funding. he also does not seem to have any asian/US connections & experience that would benefit the company
- he is also a director on the board of ALK and a hangover from the demerger. As a Gandel friendly he is not independent and would be expected to vote with gandel on everything. we need more independent directors and those with relevant experience to help ASM. the company should appoint an independent director to be the chair of the audit and remuneration committees.
