i must ask...why does chairman only get to vote a persons votes...

    i must ask...why does chairman only get to vote a persons votes ( if given permission) for resolutions 1,3,4, and 6 ?
    and not others?

    Conflict of interest. Chairman can only vote on the other resolutions as proxy if the shareholder has directed him how to vote.

    and i' ve never been to an AGM..so forgive my naiveity...but who observes if chairman votes your wishes correctly?

    The share registry is responsible for tallying the votes.
