OOO, I'm not going to debate whether the directors are with what they're asking. It is likely to get up irrespective of comments on HC. It is a Whilst there is risk for directors most go into it knowing full well the risks involved. As a non income company the risks as a director are much less and in the most part is their actions and disclosure.
I am not sure as a strong supporter of FAR why you would make the comment about a director going to jail. I am assuming you say this because it's a big IF that the FAR directors are meeting their disclosure obligations, have a strong compliance regime and don't get involved in corrupt behaviour then they are fine. You seem to think it could mean simple bad luck even though the directors have braver ethically, morally and in the interests of shareholders these people could go to Gaol. They can't.
Directors are also aware their obligations and worth. They can compare directors fees with non income companies with similar mkt caps.
