The clause in the AGM notice is for the future and is quite normal. It allows the company to issue shares to sophisticated investors off market if and when the cause arises. It allows the company to raise capital for specific purposes without continually going to all shareholder to move and second motions. It is limited to 10% of the issued shares at the time, so it does not mean a 10% dilution. EG if the issued shares are say 100m then the company can if this motion is passed go out to sophisticated investors and issue 10m shares. There will be some dilution as the remaining shareholders will probably not participate. So long as the capital raised is used for expansion I see no problem in supporting the motion. It does not mean that a capital raising is imminent.
