Fully agree with the comments here. If the company is losing money and most LT holders are underwater why does Verner deserve any 'performance' bonuses. Happy for him to be issued options somewhere north of $3/share as an incentive to get this company where it should be - otherwise he can suffer with the rest of us.
would also like to callout Resolution 9 where they want our approval to flog off 10% of the company at their whim on top of the 15% they already have the right to. Imagine giving them carte blanche to dilute our ownership by 25% as they see fit. Get stuffed!! 15% is bad enough. If they need to raise extra capital by using shares they should have to tell us the how and why.
