So unless there's a specific ASIC ruling that we can call upon, or it's stated in ADV's constitution etc, being that total number of shareholders have equal / majority voting rights compared to total number of shares held, I think we're not going to be able to stop this. Anyone able to advise differently?

Institutions may not vote for this either. Additionally the often vote in blocks, i.e., they communicate with each other on voting.
