There are often conflicting views of who sets a company’s strategy, the Board or the CEO, but ultimately the board approves or disapproves the strategy as outlined by the CEO, otherwise one has the wrong CEO. If Derek performs the tasks you outlined only at the Board’s direction then he is operating more in the capacity of a COO rather then CEO. There a lot of HC posts with the view that if a particular strategy or action works it’s Derek’s good work, if it doesn’t it’s Jacks fault
