Appropriately aligned incentives?? The directors take on a job and agree to the terms of the appointment at the appointment date. If the directors don't like the terms agreed to they should seek other alternate jobs to accept.
The aligned incentives should be based on how they manage the company. Directors, like us holders, have the opportunity to buy shares on market, are in a position where they can afford to buy more due to their salaries and align their incentives by making sure company progresses. If the markets like the progress made then the market will react in a positive upward share price. Those directors that bought shares on market like the rest of us then have their incentive rewards and other shareholders will be happy too.
I think that's a fair incentive without putting one's noses into the trough and seeking freebies whilst holders' holdings diminish in value. Where are the aligned incentives for holders??
