2 board members is not in our best interests. One only has to look what happened with VML in that a strategic investor wanted 2 seats at the table with a board of three. Once on the board, they managed to turn one of the legacy board members, took control of the company with a minority shareholding and fired the CEO. Less than 20% if my memory is correct. The CEO actually needed to go, made some dumb decisions buts thats another story.
A board of 5 is more secure for shareholders.
The Board being able to give away up to 25% of the company is the big one.
