each shareholder has his/her right and choice to vote. But many shareholders may not be bothered to read and/or vote. Hence some companies' directors benefited the performance right even the company DO not perform (over promised under perform. =):

Tranche A is a gift
Tranche B seems a low hurdle one considering the recent share price.
Tranche D is missing. The current performance right (as part of the remuneration) as described on page 30 in 2024 annual report need to be considered attached below.

"Tranche 1 milestone: 40% of the performance right will vest upon the volume weighted average market price of the Vertex's shares trading in ASX over 20 consecutive trading days on which the shares have traded being at least $0.40 and this event occurring no earlier than 90 days after Vertex join the official list."

Tranche F The company achieving 30,000 Oz of gold poured in a year. Expiry date is 3 years from date of issued. (IMHO, either this tranche F is removed or Tranche G is removed). If removed this, Tranche G, H and I have an increment of 25,000 oz of gold pour in a year.

Tranche G The company achieving 25,000 Oz of gold poured in a year. Expiry date 3 years from date of issued . (IMHO, this should be removed or voted "No", because Tranche F has already covered it.doubling benefit?)

Tranche H The company achieving 50,000 oz of gold pour in a year. (expiry date is 4 years from date of issue)
Tranche I The company achieving 75,000 oz of gold pour in a year. (expiry date is 4 years from date of issue)
