I think the 26m was the staff shares for all milestones. So even though the directors didn't hit the target they had the option to bonus the staff as it is their discretion. Some thinks might have been close or out of the staff control and the board approved. This is the danger of lumping together. Same can be done with board and no explanation needed. See they have got a bit smarter advice.

Anyhow. As I cannot understand the resolution makes it an easy vote.
