Directors can vote I believe but they cannot vote for themselves.
For instance Yacov cannot vote in his own performance rights. Since he has an extremely high holdings it's is likely we can deny his performance rights if we get some other top 20 holders on board.
Issue surrounds the other directors and their performance rights however... Since Yacov can (and will) vote for their performance rights we will never be able to stop them from receiving theirs. Our only hope is stopping Yacov which would send a message in its self and stop majority of the performance rights.
We can probably also stop Resolution 18 as I don't believe any key management will be able to vote (MCap performance rights)
