Keep in mind Jinan can not be diluted below 34% either, if there are any new shares on offer they will always have the right to participate as to maintain their 34% stake. It was a clause in the aquisition.
If there is a question around any particular resolution why doesn't someone just ask David or Peter? You can't get better information as to why than from the guys typing up the resolutions, Peter is managing director and David company secretary after all.
