Isn't issuing Performance Shares which are subject to a vesting price almost 3 x higher than the current SP rewarding directors for regaining the equity of SH's? The directors get nothing unless the SP is back up to .30c so this seems in line with what you are wanting.
The thing I like about these performance shares is they have a vesting price, so the directors actually have to pay for these!
The first tranche vest at 0.18c and the second at 0.30c, so at least these aren't free for the directors and the company will raise some funds out of them.
I'm not overly keen on the increase from 15% to 25% share issue without SH's approval, I would prefer if the company was going to raise capital for a particular reason they would need to seek SH approval, I'll be voting against this.
