The issue of the second tranche Convertible Note is conditional ona) obtaining the approval of Shareholders for the issue of the Convertible Notes, as sought under Resolutions 5 and 6 of this Notice;

(b) completion of the sale and/or closure of the Delorean Energy Retail electricity retail business by 15 December 2022; and

(c) substantial completion of its obligations under an engineering, procurement and construction contract with Pioneer Energy by 15 December 2022.
