People will always do what they are incentivised to do. Even when meeting obligations you can do it at a variety of quality levels, and Management and Boards seem great at blaming 1000s of others factors for lack of performance rather than themselves. I think it introduces added risk voting against, even if unpalatable that they are even asking.
