I do not believe the directors could have sold to RIO until the offer officially opened...and that was yesterday, so the change in shareholdings is not relevant to the offer.

PS...I am still holding and contemplating selling some on market, however I think a counter offer will not be far off if one is coming, as another bidder will not want acceptances to flow to RIO now the bid is open. If a bidder does not emerge then I think RIV could well be a very good long term investment to stay on as a holder or even buy more as RIO's accelerated development will definitely add substantial value to the business (and they may well make a mop up offer in a couple of years at a much higher price).
